Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you") and BasaBots ("BasaBots," "we," "us," or "our") governing your access to and use of the BasaBots EQL software application, the website at basabots.com, and related services (together, the "Service"). Please read them carefully. By downloading, installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not download or use the Service.
1. The Service
BasaBots EQL is an independent, third-party companion application for online role-playing games, provided on a subscription basis. It is a fan-made tool and is not affiliated with, endorsed by, sponsored by, or associated with any game developer, publisher, or operator. All game names, trademarks, and related content are the property of their respective owners.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that your use complies with all applicable laws.
3. Restricted Persons
The Service is not offered or licensed to, and may not be downloaded, purchased, accessed, or used by, any of the following ("Restricted Persons"):
- any developer, publisher, operator, or distributor of any game with which the Service is designed to be used;
- any parent company, subsidiary, or affiliate of such an entity;
- any current employee, officer, director, contractor, agent, or representative of any such entity, whether acting in that capacity or otherwise; and
- any person acting on behalf of, at the direction of, or for the benefit of any such entity.
By downloading, purchasing, or using the Service, you represent and warrant that you are not a Restricted Person. We reserve the right to refuse service to, terminate the account of, and void the license of any Restricted Person at any time, without notice and without refund.
4. Accounts, License Keys & Free Trial
Access to the Service is unlocked using the email address and license key issued to you at checkout, and there is no password. You are responsible for keeping your license key confidential and for all activity under your account. We may offer a one-time 7-day free trial per user and per machine; we use reasonable technical measures to detect and prevent repeated or fraudulent trials, and we may decline or revoke a trial we believe is abusive.
5. Subscriptions, Billing & Cancellation
The Service is offered for a recurring fee of US$3.00 per month following any free trial. BasaBots LLC is the seller of record. Payments are processed by Stripe, and your purchase is also subject to Stripe's terms. Subscriptions renew automatically each billing period until cancelled. You may cancel at any time through the Stripe customer portal; cancellation stops future charges, and your access continues until the end of the current paid period. Fees are stated exclusive of taxes, which may be added where required.
6. Refunds
Because a free trial is available before any charge, fees are generally non-refundable except where required by law or expressly approved by us. Approved refunds are issued by us through Stripe on a case-by-case basis.
7. License Grant & Restrictions
Subject to these Terms and your active subscription, we grant you a personal, limited, revocable, non-exclusive, and non-transferable license to install and run the Software on one machine at a time for your own personal, non-commercial use. You may not, and may not permit others to:
- copy, redistribute, resell, sublicense, rent, lease, or share the Software or your license key;
- reverse engineer, decompile, disassemble, or attempt to derive source code, except to the extent this restriction is prohibited by law;
- circumvent, disable, or tamper with licensing, trial, or security mechanisms;
- remove or alter any proprietary notices; or
- use the Service to build or train a competing product or service.
8. Acceptable Use & Your Responsibility
The Service displays in-game information by reading (never modifying) your game client's memory; it does not write to the game's memory, inject code, or otherwise alter the game. You are solely responsible for ensuring that your use of the Service complies with the terms of service, rules, and policies of any game or platform you use it with. Some games and operators restrict or prohibit third-party tools. You use the Service at your own risk, including any risk of account suspension or other action by a game operator. You agree not to use the Service for any unlawful purpose.
9. Intellectual Property
The Software, the website, and all associated content, branding, and materials (excluding third-party trademarks and game content owned by others) are owned by BasaBots and protected by intellectual-property laws. Except for the license granted above, no rights are transferred to you.
10. Third-Party Services
The Service relies on third parties, including Stripe (payments) and our hosting and infrastructure providers. We are not responsible for the acts, omissions, content, or availability of third-party services, and your use of them may be subject to their own terms.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE, OR THAT IT IS COMPATIBLE WITH OR PERMITTED BY ANY PARTICULAR GAME.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASABOTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR GAME ACCOUNTS, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US$20. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify and hold harmless BasaBots from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights or any game's terms.
14. Termination
You may stop using the Service at any time by cancelling your subscription. We may suspend or terminate your access at any time if you breach these Terms, if you are a Restricted Person, or as needed to protect the Service or comply with law. Provisions that by their nature should survive termination (including Sections 3, 7–13, and 16) will survive.
15. Changes to the Service and These Terms
We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms from time to time; the "Last updated" date above reflects the latest version. Material changes will be posted here, and your continued use of the Service after changes take effect constitutes acceptance.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. Before filing a claim, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days. Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in California, rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for intellectual-property or unauthorized-use claims. To the extent permitted by law, you and BasaBots waive any right to a jury trial and to participate in a class or representative action. If arbitration is held unenforceable, the state and federal courts located in California will have exclusive jurisdiction, and you consent to venue there.
17. Miscellaneous
These Terms are the entire agreement between you and BasaBots regarding the Service and supersede prior agreements. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
